Terms of Use
These Terms of Use ("Terms") govern your access to and use of evidentcorp.com (the "Site"), operated by Evident Systems, Inc. ("Evident," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms apply only to the informational Site. They do not govern Sherpa OS or any related beta, pilot, trial, demonstration, sandbox, or production environment. Use of Sherpa OS or any services provided to customers is governed exclusively by a separate written agreement between Evident and the customer. Nothing on the Site is an offer of the product or services on these Terms.
1. Use of the Site
You may use the Site for lawful, informational purposes and to contact us. You agree not to:
- Use the Site in violation of any law or regulation.
- Attempt to gain unauthorized access to the Site, its systems, or the serverless functions and APIs behind it, or to probe, scan, or test their vulnerability.
- Interfere with or disrupt the Site, including by submitting automated, bulk, or spam form or chat submissions, or by circumventing our bot-protection or rate limits.
- Scrape, harvest, or collect information from the Site except as permitted by our robots file and applicable law.
- Misrepresent your identity, including in the accredited-investor self-assessment or any form.
2. The chat assistant
The Site offers an AI chat assistant (the "Assistant"). Its responses are generated by artificial intelligence, may be inaccurate, incomplete, or outdated, and are provided for general information only. They are not professional, legal, financial, tax, or investment advice, and you should not rely on them as such. You are responsible for independently evaluating any response before acting on it. Do not submit confidential, privileged, or sensitive information through the Assistant. Your use of the Assistant is also subject to our Privacy Policy.
3. Investor information
Any investor-related information on the Site is for general informational purposes and does not constitute an offer to sell or a solicitation of an offer to buy any security. The accredited-investor self-assessment is for preliminary screening only and is not a verification of your status. Submission of investor information does not establish eligibility for any offering and does not create any right to participate in a financing. Any actual offering will be made only through definitive offering documents to qualified persons and in accordance with applicable securities laws.
4. Intellectual property
The Site and its contents, including text, graphics, logos, names, marks, screenshots, and design, are owned by Evident or its licensors and are protected by intellectual-property laws. Sherpa OS, Evident, and related branding may be trademarks, service marks, trade dress, or other proprietary identifiers of Evident or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational use. You may not copy, reproduce, republish, distribute, or create derivative works from the Site without our written permission, except as permitted by applicable law.
5. Third-party links
The Site may link to third-party websites. We are not responsible for their content, and a link does not imply our endorsement.
6. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is accurate or complete. Sherpa OS is in an early stage, and statements about its capabilities or roadmap are informational and subject to change.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVIDENT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
8. Indemnification
You agree to indemnify, defend, and hold harmless Evident and its officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your unlawful conduct, misuse of the Site, or material violation of these Terms.
9. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
10. Export controls
You may not use, export, re-export, or transfer the Site or its content in violation of applicable export-control, sanctions, or trade laws.
11. Severability
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
12. Waiver
A failure by Evident to enforce any provision of these Terms is not a waiver of that provision or of any other right.
13. Entire agreement
These Terms, together with the Privacy Policy and Cookie & Local Storage Disclosure, are the entire agreement between you and Evident concerning the informational Site and supersede prior or contemporaneous understandings concerning the Site. They do not replace or modify any separate written agreement governing Sherpa OS or Evident services.
14. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted, indicated by the "Last updated" date. Your continued use of the Site means you accept the updated Terms.
